TERMS & CONDITIONS

1. Acceptance of Terms

Acceptance of any purchase order or agreement by Automation Station (“Seller”) is expressly subject to the terms and conditions stated herein. These terms shall prevail over any conflicting terms from the Buyer unless otherwise agreed to in writing by an authorized representative of Automation Station.


 

2. Scope of Work & Design Changes

Automation Station reserves the right to make design modifications, improvements, or adjustments as necessary to enhance performance, safety, or functionality without prior notice, provided such changes do not materially affect the agreed scope.

 


 

3. Pricing

All quoted prices are valid for thirty (30) days unless otherwise specified in writing.
Prices do not include applicable taxes, duties, shipping, or additional surcharges unless explicitly stated.

Buyer is responsible for all applicable federal, state, and local taxes unless exemption documentation is provided.

 


 

4. Payment Terms

Unless otherwise agreed in writing:

  • Payment is due within 30 days of invoice date
  • Late payments are subject to a 1.5% monthly finance charge
  • Partial shipments or completed milestones may be invoiced accordingly

Automation Station retains a security interest in all equipment, systems, and deliverables until full payment is received.

 


 

5. Shipping & Delivery

Unless otherwise agreed in writing:

  • Shipping terms are FCA (Free Carrier) from Automation Station’s operating location
  • Risk transfers to Buyer upon shipment
  • Delivery timelines are estimates and not guarantees

 


 

6. Compliance with Regulations

Buyer agrees to comply with all applicable federal, state, and local regulations, including but not limited to:

  • Labor laws
  • Safety standards
  • Environmental regulations

Automation Station operates in compliance with all applicable U.S. labor and manufacturing standards.

 


 

7. Cancellations & Returns

All orders are considered Non-Cancelable and Non-Returnable (NCNR) unless approved in writing by Automation Station.

If cancellation or return is approved:

  • A restocking or service fee may apply
  • Fees are based on work completed, materials used, and customization level
  • Buyer is responsible for all return shipping costs

 


 

8. Warranty Policy

All equipment and components are subject to manufacturer warranties only, unless otherwise specified.

  • Labor, travel, and service time may be billed separately
  • Warranty does not cover misuse, improper installation, or unauthorized modifications

 


 

9. Service Scheduling & Cancellation

  • A minimum of 48 hours notice is required for scheduling service
  • Less than 48 hours may result in a 20% surcharge
  • Cancellations within 24 hours may incur a cancellation fee

Travel costs are calculated based on Automation Station’s service location.

 


 

10. Rates Validity

Quoted field service rates are valid for 120 days from proposal date.

Services requested beyond this period will be billed at current rates.

Time spent on required safety training or site onboarding will be billed at standard service rates.

 


 

11. Limitation of Liability

Automation Station’s total liability, whether arising from contract, negligence, or otherwise, shall not exceed the total contract value.

Automation Station shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or production downtime

 


 

12. Indemnification

Both parties agree to indemnify and hold harmless one another from claims, damages, or liabilities arising from:

  • Negligence
  • Willful misconduct
  • Breach of agreement

This includes reasonable legal fees and associated costs.

 


 

13. Authority of Representatives

No employee, agent, or representative of Automation Station has authority to alter these terms unless such changes are made in writing and signed by an authorized officer.

 


 

14. Governing Law

These Terms and Conditions shall be governed by the laws of the State of Texas.

 


 

15. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions, agreements, or understandings.
